Q

buisness efficancy AO3

A

P: the supreme court endorsed this test this sis a positive because the supreme court is the top domestic court and judges have better understanding of the law lay people will have a lot more confidence and faith in that decion
DP:Tthis test is argued to be fair in commercial or buisness situations because parties should be ware that implied terms are incoperated into the contract
WDP: however some argue it is unfair to presume that the parties will have contract law knowledge just because they own buisness

Q

officous bystander test

A

had another party been there at the time the contract was made would they have presumed the term in question should be implied if so the court will imply the term to be implied using this test it must be obvious that both parties would have agreed to the term at the time the contract was made shirlaw v southern foundries
