Bullshit-Bingo Flashcards
Value Creation
1) Future Earnings Potential
+
2) Strategic Value to an Acquirer
Board Seats Early Stage
3-5 (Founders 1-2, Investors 1-2, Sonstige 1)
Liquidation Preference
- wie wird sie angegeben
- wie funktioniert sie
- Arten
- angegeben als Multiplikator auf das Investment. Regelfall = 1x
- LIFO
“Participating with a 3x Cap”)
Product-Market-Fit
= Being in a good market with a product that can satisfy that market
Key Drivers: 1) Value Proposition 2) Market Size, 3) Growth Trajectory/Traction
Product Market Fit/Value Proposition (3 word summary)
= Problem - Solution - Differentiation
–> “How does the Company address specific customer pain points with a better/faster/cheaper solution?
A: “Solution” means: problem solution from customer’s perspective (“hole in the wall - not drill”)
Product Market Fit/Value Proposition: Metrics for “Solution”
= how is the product better/Faster/cheaper?
–> Identification of the customer pain (which customer segment has the biggest pain (and would most likely be the early adopters)?)
–> Metrics = NPS, MAU/DAU, Retention Curve, Churn
What does “Competition” include?
- Macro (= competitive landscape): which direct and indirect competitors, substitutes, alternatives
- Micro level (= each key player): which specific and relevant (A: customer perspective) offerings do the competitors’ products bring along? –> product attribute chart
Product Market Fit/Market Size/
- what is Market Size?
- what is TAM?
= Figure or Story (or story about a figure)
- TAM = sum of all the conceivable future transactions in the market p.a. (VCs expect TAM > 1bn)
Product Market Fit/Traction
= “can we prove that the customer wants this?”
- how sorry would the customers be if the product were no longer available?
-
- # of customers, degree of happiness (NPS), frequency of usage, ARPU/DAU/MAU, Retention, Churn, DBNER
- A: The Founders are NOT the best source for Traction (better: above engagement metrics and their development)
How is “differentiation” different from “competitive advantage”?
differentiation = part of value proposition (better, cheaper, faster)
competitive advantage = defendability of value proposition, i.e. “moat”/entry barrier (e.g. IP)
what is “seed investment”?
investing in a startup before it has traction
Wozu dient “porters 5 forces “?
- Bestandteile: 1) Kunde, 2) Lieferant (Kräfteverhältnis), 3) Ersatzprodukte, 4) Potentielle Mitbewerber, 5) Aktuelle Mitbewerber
name moats (competitive advantages)
- IP (patents, trademarks, copyrights)
- network effects
- lock-in effect (sticky products / high switching costs)
- trade secrets
- strategig partnerships
why is the iteration of the product-market-fit important? (p.214)
We cannot assert to be better/faster/cheaper (=Value proposition) w/o knowingout competition, i.e. after deep investigation of competition we need to circle back to ValueProp in order to answer
1) are we really adressing a customer pain point?
2) how strong is our valueprop?
3) how big is the market?
4) do we have the right team …
What is a commercial DD of a startup by a VC comprised of (“3 Fits”)?
1) Product-Market-Fit
-> Value Proposition, Market Size, Traction
2) Founder-Industry-Fit
–> Team, Secret Sauce, Business Model
3) Fund Fit
–> Growth/Milestones, Exit Strategy, Return Analysis
What’s important when assessing a business model?
“is this a space where we can grow quickly?”
what is a “success failure”?
attracting customers but failing to keep them (happy)
What is the Rule of 40?
Sales Growth (CAGR) + Operating Margin (= Operating Profit/Revenues) should exceed 40 (applicable for SaaS and most Tech companies.)
what are barriers to scalability?
- wrong team
- finding talent
- infrastructure
- product development
- long sales cycles
- slow customer adoption
- legal
Why is “Traction” to be taken with a grain of salt?
because it needs to be assessed customer/market segment by segment (crossing the chasm)
What are the 2 metrics to assess Product-Market-Fit?
1) LTV (Value Creation Side)
2) CAC (Expense Side)
Gross Margin (Bruttomarge), Formel, Bedeutung
(Revenues ./. COGS) / Revenues x 100
- nicht: SG&A)
–> shows the amount of profit made before deducting selling, general, and administrative (SG&A) costs.
Operative Margin (aka EBIT margin, ROS, Umsatzrendite) =
(Revenues ./. COGS ./. SG&A) / Revenues
aka EBIT / Revenues
Was sagt einem die Umsatzrendite / operative Marge?
shows how much earnings from operations is generated from every $1 in sales.
Umsatzrendite = Gewinn / Umsatz
Was zeigt einem die Gross Margin (Bruttomarge)?
The gross margin shows the amount of profit made before deducting selling, general, and administrative (SG&A) costs.
Welche Marge ist für VCs die wichtigste?
Die Gross Margin - vor allem die zukünftige
- Gross Margin sollte 50-90% betragen
Name different revenue models
- Subscription / recurring
- Transaction / purchase
- fee-for-service (pay to play)
- Freemium
- Rental Income
- Licensing
- Commission / Franchise
- Installation & Maintenance
- Advertising
what is important in designing a revenue model?
keep the transaction w customer simple and familiar –> sell a dispruptive product in a non-disruptive way!
name 3 advantages of SaaS
- recurring revenues can increase the LTV by increasing customer retention
- smooth-out earnings
- lock-in effect
What is important in a DD in terms of exit perspective?
- develop a common exit perspective w founders
- identify inflection points (story + data)
name 7 examples for inflection points
- PoC
- Prototype
- Beta Customer
- First paying customer
- Technical achievement
- Product release
- strategic partnership
- patent secured
- MoM Growth
- Rockstar hired
- # revenues, customers, …
what are the 3 paramount factors for an exit valuation?
- Revenues (EBITDA-/Gross Income-multiples) [revenues should not be used during finance rounds - only for exit valuation]; factors = 5-10x (depending on growth trajectory and margin)
- Customers
- Capabilities (Acquihire, strategic value, comparables [i.e. Exits of previous similar startups])
MoM-Growth
Compounded Annual Growth Rate
- A: keine Berücksichtigung von Ausschlägen
- Jahr 1: 250
- Jahr 5: 750
CAGR
= (Last year / First year) ^ (1 / # of yrs difference) ./. 1
–> ((750 / 250) ^ (1/4) - 1)
= 31,6%)
Kontrolle: 250 x 1,316^4 = 750
NEIN!
Wie lautet die Formel für ein YoY-Wachstum?
(Year 2 ./. Year 1) / Year 1 * 100
Newsletter Subscription, Registierung usw.)
Was bedeutet Conversion Rate?
Was bedeutet TCV?
Total Contract Value
= Barwert eines Vertrages einschl. einmaliger Service-Pauschalen etc.
- “Annual Contract Value” –> Bezogen auf nur ein (1) Jahr
Was bedeutet CPM?
Cost-Per-Mille, d.h. tausend Clicks bei Google-Ads
Was beinhaltet MRR (nicht)?
- New MRR (Neukunden)
- Expansion MRR (Extension mit Bestandskunden)
- Churned MRR (Kundenverlust, Downgrades)
=> SUMME = Net New MRR
= Total Revenue (Month) / average number of monthly users
Was ist expansion mrr?
= (MRR Monatsende ./. MRR Monatsanfang) / MRR Monatsanfang
- Gesunde MRR = 20%
- Vorteile: niedrigere CAC, d.h. kürzere Payback-Period
Welche Arten von Churn gibt es?
1) Customer Churn
2) Revenue Churn
