Romsgate Victoria Hotel co LTD v Montefiore (D applied for shares and paid a deposit in June. In Nov was told that his shares had been allotted to him and the payment of the balance was request. D refused. Hled D’s offer had lapsed.
What are the two reasons explaining why an offer will lapse by way of time
1) There will be a term implied into the offer, if this is true the offer cannot prevent the lapse
2) the offers failure to respond it view as a rejecting by conduct so the offer will not lapse the offeree makes it clear that he is still considering the offer
