To be negotiable, an instrument must meet the following requirements:

- In writing signed by maker or drawer;
- unconditional promise to pay(no conditions; ok to refer to other docs as long as promise not subject to those other docs)
- Fixed principal amount
- Payable to order (to specific person) or bearer (to whoever has possession; if characteristics of both, treat as bearer)
- payable on demand at a definite time
- No additional undertaking or instructions
