MUST: (i) rep would violate law/ rule; (ii) CA client acting without prob cause or to harass; (iii) fired

MAY: (i) show court good cause (including won’t her client’s interest)

PROC’S: timely notify + return unspent $ + return materials (no hostage in CA)
