No.
The only method of voting used in BM is - ‘Show of Hands’

A
A resolution passed by the Board is binding on the whole Board
including those directors who were absent &
the directors who voted against such resolution.

By when should the 1st BM be held? - Sec 173(1)
A
Every company is required to hold its 1st BM -
within 30 days of its incorporation.

How many BM should be held? - Sec 173(1)
A
—> At least 4 BM shall be held every ‘year’.
—> The word ‘year’ means = calendar year.
—> Thus, at least 4 BM must be held during the period 1st Jan to Dec 31st.

What is the maximum no. of BM that can be held?
A
Neither Sec 173 nor any other section of the Act prescribes any maximum limit on the no. of BM.
