who can use this procedure? when can they not use it?

can be used by LTDs only (not PLCs - even if the AAs suggest they can), but they cannot use it to remove a D or auditor

how is the written resolution delivered?
A
WR can be personally delivered or posted. Email or on a website is permissible if the SH has previously agreed.

who is the written resolution sent to and what information does it inc.?
A
WR must be sent to all eligible SHs + auditors with a statement inc.:
o How to signify the proposed resolutions; +
o The deadline for passing the resolution (this is 28 days from circulation unless stated otherwise in the AAs) (approval after this time is ineffective)
