Listed company and other large public limited companies in India are required to appoint at least one woman to they boards and the companies ,2013.
A vacant board seat previously held by a female director must be filled by another woman within 3 months of the vacancy or by companies next board meeting which ever is later.

2018 SEBI to have at least one female independent director By April 2020 in case of non compliance find a 5000 listing requirement is met.

IRDA governance guidelines reinforce companies Act 2013 requirement to have at least one female board member .
this includes unlisted Insurance Company for which the IRDA is the primary regulatory body.
