What are the principles of the UK Corporate Governance Code?
A
- Appropriate balance of power: no one individual is handed too much power
- Independent NEDs - sufficient number of NEDs to provide an objective opinion on key decisions
- Established committees - NEDs should form a nominations committee, remuneration committee & audit committee
- Effective risk management: should maintain sound risk management & internal control systems, this includes cyber security risk management.
