Public Company Representation Practice Flashcards

Q

Describe the PCR Group Generally?

A
  • In general, the practice is focused on advising public companies on SEC compliance and corporate governance and, within those two areas, we cover a lot of territory. SEC compliance, for example, covers everything from major matters and corporate crisis, such as a restatement, to straight-forward reporting questions. Often the calls we receive are complicated issues, given the clients are sophisticated, oftentimes general counsel, who can consider the rules, but when there aren’t easy answers they come to the public company counselors at Latham, and sometimes there really isn’t an answer, and they’re looking for a judgment call and we are able to provide guidance.
  • Latham has pure play public company lawyers, but broadly in our corporate and capital markets departments our specialists intersect with public company issues and many of our lawyers minor in public company reporting issues.
  • One thing that is fun about my practice is a lot of what we do in the group is in the name of paid business development, by getting to know the inhouse people or counseling a board on a regular basis, we end up on the speed dial of decision makers for major engagement opportunities, whether it be a litigation mater or governmental investigation or significant transaction, we’re in a great position to get the first call.
  • PCR truly overlaps in significant ways with other practices in the firm, making it a very dynamic and rewarding practice.
