while representing a client a lawyer will not knowingly:

a) make a false statement of material fact or law to a 3rd person; or
b) fail to disclose a material fact to a 3rd person when it is necessary to avoid assisting a criminal or fraudulent act by the client, unless disclosing violated rule 6.1
