Debt/Skudl has a prior claim on cash flows, but its claim is limited to the amount of the debt. Therefore, in contrast to equity, it does not have residual cash-flow rights and it does not participate in the upside of the business. Also, unlike equity, debt offers no control rights unless the firm defaults on its debt. The variety of debt instruments is almost endless. The Instruments differ by maturity, interest rate (Fixed or floatig), currency, seniority, security, and wheter the debt can be converted into equity.
